Privacy & Policy

Terms & Conditions

These Terms & Conditions (“Terms”) govern (i) your access to and use of the Naquist website/app and related services (the “Platform”), and (ii) your purchase/booking of luxury experiences offered through the Platform.

Naquist is a curated marketplace/intermediary. Experiences are provided by independent third‑party businesses (“Experience Providers”). Your Experience Contract is primarily with the Experience Provider. Naquist provides marketplace, payment facilitation, and concierge/quality-curation services as described below.

Nothing in these Terms limits or excludes mandatory consumer rights that cannot be waived under applicable law.

If you do not agree, do not use the Platform.

1. WHO WE ARE (TRADER INFORMATION)

The Platform is operated by:

Naquist (the “Company”, “Naquist”, “we”, “us”)
 Legal entity: Vita Italiana S.r.l.s.
 Registered office: Viale Appio Claudio 208, Rome, 00174, Italy
 VAT/Tax ID: IT17740991009
 Contact email: legal@naquist.com
 Customer service: support@naquist.com

Experience Provider information (name, address, contact details, registration/VAT where applicable) is displayed at the checkout, consistent with EU marketplace transparency and traceability expectations.

2. DEFINITIONS

In these Terms:

  • “Account” means a user account created on the Platform.
  • “Booking” means a reservation request or purchase for an Experience.
  • “Booking Confirmation” means the confirmation message/email that confirms the Booking status and details.
  • “Concierge Services” means Naquist’s support services (before/after purchase) such as coordination, information, liaising with vendor where possible, subject to availability.
  • “Consumer” means a natural person acting for purposes outside their trade/business/profession.
  • “Experience” means a luxury experience/service offered on the Platform (e.g., dining, hospitality, lifestyle, events, tours, wellness, etc.).
  • “Experience Contract” means the contract for provision of the Experience, primarily between you and the Experience Provider.
  • “Experience Provider” means the independent third‑party provider that offers and delivers the Experience.
  • “Experience Price” means the portion of the total price attributable to the Experience Provider for delivering the Experience.
  • “Platform Fee” means the portion of the total price attributable to Naquist for marketplace/intermediation, curation, concierge and related services (as disclosed at checkout).
  • “Split Payment” means that a single payment from you is allocated between Naquist and the Experience Provider via payment technology.
  • “Total Price” means the total amount you pay (Experience Price + Platform Fee + taxes/fees, if any).
  • “User Content” means content you submit or you upload (reviews, photos, messages, etc.).
  • “Applicable Law” means laws and regulations applicable to you and/or Naquist and/or the Experience Provider.

3. SCOPE — WHAT THESE TERMS COVER

3.1 Marketplace Services Agreement (Naquist ↔ You). These Terms form an agreement between you and Naquist covering:

  • access to the Platform;
  • presentation and curation of Experiences;
  • payment facilitation/split payment;
  • concierge and customer support;
  • moderation of listings, reviews, and user content;
  • dispute handling regarding Platform services.

3.2 Experience Contract (Provider ↔ You). The Experience itself is delivered by the Experience Provider under the Experience Contract. The provider may require additional rules (e.g., safety waiver, house rules, dress code, age limits) disclosed on the Experience page and/or at check‑in.

3.3 Order of precedence. If there is a conflict between these Terms and the Experience‑specific conditions shown at checkout, the Experience‑specific conditions prevail for the Experience Contract (to the extent permitted by law). These Terms prevail for Platform/Concierge services.

4. ELIGIBILITY & ACCOUNT

4.1 Age. You must be at least 18+ years old (or the age of majority where you live) to book. Some Experiences have higher age limits.

4.2 Accurate information. You must provide accurate contact and participant details. You are responsible for keeping your Account secure.

4.3 Business use. These Terms are intended for Consumers. If you use the Platform as a business, additional terms may apply.

5. EXPERIENCE LISTINGS, RANKING & SPONSORED PLACEMENTS

5.1 Information accuracy. Listings are based on information supplied by Experience Providers. Naquist performs curation and quality checks, but does not guarantee that every listing is error‑free.

5.2 Ranking parameters. Search results and listings may be ordered using parameters such as: relevance to your query, availability/date match, location, popularity and engagement, quality signals (e.g., ratings, completion rate), price range, and editorial curation. If we offer paid placements, they will be labeled as “Sponsored” or similar.

5.3 Personalised pricing. Where a price is personalised (e.g., based on preferences, location, or booking patterns), we will disclose this at or before checkout where required.

6. IMMEDIATE CONFIRMATION & CHARGE

6.1 How to book. You select an Experience and purchase . Before placing the Order you will be shown key information including: main characteristics, date/time, Total Price, taxes/fees, cancellation terms, and provider identity where required.

6.2 Your booking and completed payment secure your request. You will receive immediate confirmatiom upon payment.

6.3 Durable medium confirmation.

All experiences must be booked at least 16 days prior to the scheduled event date.

7. PRICING, SPLIT PAYMENT, TAXES & INVOICING

7.1 Total Price. The Total Price is shown at checkout and may include:

  • Experience Price (payable to the Experience Provider);
  • Platform Fee (payable to Naquist);
  • taxes (e.g., VAT/sales taxes) and mandatory fees, if applicable;
  • optional add‑ons you select.

7.2 Split Payment disclosure. You acknowledge and agree that payment may be split between Naquist and the Experience Provider (Split Payment). Naquist retains the Platform Fee for its marketplace/intermediation, curation and concierge services; the Experience Provider receives the Experience Price for performing the Experience.

7.3 Payment processor. Payments are processed by a third‑party payment processor such as for example Stripe or similar service providers (“Payment Processor”). You may be asked to accept the Payment Processor’s terms. Naquist does not store full card data (except as handled by the Payment Processor).

7.4 Merchant of record / statement descriptor. Depending on Payment Processor settings, your bank statement may show Naquist, the Experience Provider, or both.

7.5 Taxes & invoices/receipts.

  • Where the Experience Provider is the contracting supplier for the Experience Contract, the Experience Provider is typically responsible for issuing any invoice/receipt required for the Experience Price and for tax compliance on that portion.
  • Naquist is responsible for invoicing/receipting the Platform Fee where required by law.
     Actual invoicing flows depend on the Provider’s status and local rules.

7.6 Currency. Prices are shown in EURO (€). If you pay in a different currency, your bank may apply conversion fees.

7.7 Price changes. Prices may change until you place an Order. Once you receive Booking Confirmation, the confirmed price applies.

8. PROMO CODES, CREDITS & GIFTING

8.1 Promo codes are subject to eligibility, expiration, and anti‑fraud controls. We may revoke codes used improperly.

8.2 Gift purchases / vouchers. If the Platform issues a voucher, it is redeemable only as stated, may be non‑transferable, and may expire where allowed by law. Some jurisdictions impose mandatory voucher rules; we comply where applicable.

9. CHANGES, CANCELLATIONS, RESCHEDULING & REFUNDS

Important: cancellation terms are displayed at checkout. The below is a baseline framework.

9.1 Customer-initiated cancellation.

  • Clients may cancel their booking up to 16 days before the event date. In such case, the Client shall be entitled to receive a 100% refund of the Total Price paid.
  • Cancellations made less than 16 days before the event date are non-refundable, as the service is reserved and prepared specifically for the client.
  • All cancellation and refund deadlines are calculated based on the local time zone of the event location, regardless of the client’s country or time zone.

9.2 Provider-initiated cancellation. If the Experience Provider cancels, you will be offered (where feasible) rescheduling or a 100% refund. If an Experience is materially changed (e.g., date/time/location), you may be entitled to cancel and receive a full refund as described at checkout and/or by mandatory law.

9.3 No‑shows & late arrival. No‑show or late arrival may be treated as a late cancellation with no refund.

9.4 Refund timing. Approved refunds are processed to the original payment method. Timing depends on your bank/payment method.

9.5 Chargebacks. If you initiate a chargeback, we may suspend your Account pending investigation. If the chargeback is found invalid, you may be liable for fees to the extent permitted by law.

9.6 Force majeure. Neither Naquist nor the Experience Provider is liable for delays/failures caused by events beyond reasonable control (e.g., natural disasters, strikes, government restrictions). Resolution (reschedule/full refund/credit) will follow the Experience policy and mandatory law.

10. EU/EEA/UK RIGHT OF WITHDRAWAL (DISTANCE CONTRACTS)

10.1 General rule (EU/EEA/UK). If you are a Consumer in the EU/EEA/UK, you generally have a 14‑day right of withdrawal for distance contracts, unless an exception applies.

10.2 Key exception for leisure experiences with a specific date/time. Many Experiences are “leisure services” provided on a specific date or period, for which the withdrawal right is typically excluded under EU rules and national implementations.

10.3 When withdrawal is available. Where the withdrawal right applies, instructions and a model form are provided in Annex 1.

10.4 Services started during withdrawal period. If you request performance to begin before the withdrawal period ends (where applicable), you may owe a proportionate amount if you withdraw, as allowed by law.

11. NAQUIST’S ROLE, QUALITY CURATION & CONCIERGE

11.1 Intermediary role. Naquist provides the Platform to allow you to discover and book Experiences from Experience Providers. Naquist is not the operator of the venues nor the direct provider of the Experience unless expressly stated.

11.2 Quality curation (“Naquist Standard”). Naquist uses reasonable efforts to curate and select reputable Experience Providers and Experiences. This may include: verification steps, review of credentials, quality checks, mystery shopping (where feasible), monitoring ratings, and removal of providers that do not meet standards. This is not an absolute guarantee of performance or outcomes.

11.3 Concierge Services. Naquist may provide concierge support (e.g., pre‑booking guidance, coordination, special requests, and post‑booking assistance). Concierge Services are best‑efforts and may depend on provider availability and timing.

11.4 Not a travel agency / package organiser (where applicable). Unless explicitly stated, Naquist does not act as an organiser of “packages” under EU package travel rules. If a booking legally constitutes a “package” or a “linked travel arrangement” in your jurisdiction, mandatory rights apply and will prevail.

12. EXPERIENCE PROVIDER RESPONSIBILITIES (DELIVERY, SAFETY, PERMITS)

12.1 Provider performance. The Experience Provider is responsible for:

  • delivering the Experience as described;
  • holding any required permits, licences and insurances;
  • complying with applicable safety, consumer, and sector regulations;
  • providing trained staff and safe equipment;
  • handling on‑site incidents.

12.2 Safety requirements. You must comply with safety instructions, eligibility requirements, and any on‑site rules. The provider may refuse service for safety or legal reasons.

12.3 Assumption of risk. Certain Experiences involve inherent risks (travel, physical activity, vehicles, water activities, food allergies, etc.). You participate at your own risk and must assess suitability. This does not limit liability that cannot be excluded under law.

13. USER OBLIGATIONS

You agree to:

  • provide accurate participant and health/safety info (e.g., allergies) where relevant;
  • arrive on time and behave respectfully;
  • not violate laws (including alcohol/drug laws);
  • not use the Platform for fraud, resale, or harassment;
  • comply with provider requirements disclosed at checkout/on site.

14. ANTI-CIRCUMVENTION / NON-DISINTERMEDIATION (FAIR USE)

14.1 Purpose. Naquist invests in sourcing, curation and concierge. You agree not to use the Platform primarily to identify or contact Experience Providers and then complete the same (or substantially similar) booking “off‑platform” for the purpose of avoiding Platform Fees.

14.2 What is prohibited. Without limitation, you agree not to:

  • request or share contact details solely to bypass the Platform;
  • solicit off‑platform payment or side deals for an Experience discovered on Naquist;
  • induce a provider to cancel an on‑platform booking to rebook off‑platform.

14.3 Enforcement. If we reasonably determine you violated this clause, we may:

  • suspend/terminate your Account;
  • cancel pending bookings where permitted;
  • pursue recovery of direct losses to the extent permitted by law.
    No penalty fees are imposed where prohibited by consumer law; remedies are limited to lawful measures.

14.4 Nothing prevents you from purchasing other, unrelated services directly from providers outside the Platform that are not the result of circumvention of a Naquist‑facilitated booking.

15. REVIEWS, USER CONTENT & CONTENT MODERATION

15.1 User Content licence. You grant Naquist a worldwide, non‑exclusive, royalty‑free licence to host, reproduce, display, and distribute User Content for operating and marketing the Platform (subject to your privacy settings and Applicable Law).

15.2 No illegal or abusive content. You must not submit unlawful, defamatory, hateful, or infringing content.

15.3 Moderation & removals. Naquist may remove or restrict content that violates these Terms or Applicable Law and may take measures against misuse. We may use automated tools and human review.

15.4 EU Digital Services Act transparency. For users in the EU/EEA, we provide information about content moderation policies and complaint mechanisms in line with the Digital Services Act.

16. INTELLECTUAL PROPERTY

All Platform content (excluding User Content) is owned by Naquist or licensed to Naquist. You may not copy, scrape, reverse engineer, or exploit the Platform except as allowed by law or with written permission.

17. DISCLAIMERS

17.1 Platform services. The Platform and Concierge Services are provided “as is” and “as available,” subject to mandatory law.

17.2 Experiences. Naquist does not warrant that an Experience will meet your expectations, be uninterrupted, or be error‑free. The Experience Provider is responsible for delivery, quality, safety, and on‑site conduct.

17.3 Dates, availability and quality. Dates/availability can change; providers may adjust details for operational reasons. Naquist will use reasonable efforts to keep information current and assist in case of changes (via concierge), but cannot guarantee the Experience occurs exactly as originally displayed, subject to mandatory law.

18. LIMITATION OF LIABILITY

18.1 No exclusion where prohibited. Nothing in these Terms excludes or limits liability for:

  • death or personal injury caused by negligence where such limitation is unlawful;
  • fraud or fraudulent misrepresentation;
  • wilful misconduct;
  • any liability that cannot be excluded by Applicable Law.

18.2 Naquist’s cap (Platform services). To the maximum extent permitted by law, Naquist’s total aggregate liability arising out of or in connection with the Platform and/or Concierge Services shall be strictly capped at an amount not exceeding EUR 250, which amount represents the maximum liability, regardless of the Platform Fee paid for the Booking giving rise to the claim.

18.3 Experience Provider liability. Claims relating to the performance of an Experience (injury, property damage, service failure) should be directed to the Experience Provider. Naquist will reasonably assist you in contacting the provider and facilitating dispute resolution.

18.4 Indirect damages. To the maximum extent permitted, Naquist is not liable for indirect, incidental, special, consequential, or punitive damages.

19. INDEMNITY

To the extent permitted by Applicable Law, you agree to indemnify and hold Naquist harmless from claims arising from your breach of these Terms, your unlawful acts, or your User Content. This does not apply where prohibited for Consumers under mandatory law.

20. SUSPENSION & TERMINATION

We may suspend or terminate your Account if you materially breach these Terms, misuse the Platform, commit fraud, or create risk to others. Where required by law, we will provide notice and an opportunity to remedy.

21. PRIVACY

Your personal data is processed as described in the Naquist Privacy Policy (below). Where cookies/trackers are used, a Cookie Notice/Consent mechanism applies.

22. CHANGES TO THESE TERMS

We may update these Terms to reflect legal, technical, or business changes. We will post the updated version with a new “Last updated” date. Material changes may be notified by email or in‑Platform notice where required.

23. GOVERNING LAW & DISPUTE RESOLUTION

23.1 Governing law. These Terms are governed by the laws of Italy, without prejudice to mandatory consumer protections applicable in your country of residence (notably for EEA/UK consumers). (Rome I principles apply.)

23.2 Jurisdiction (Consumers). If you are a Consumer in the EU/EEA/UK, you may generally bring claims in the courts of your domicile and you may only be sued there, to the extent provided by mandatory rules (e.g., Brussels I recast principles).

23.3 Complaints. Before legal action, you can contact: legal@naquist.com. We aim to respond within 15 business days.

23.4 ADR (EU). Where applicable, you may have access to certified ADR bodies in your country.
EU ODR platform notice: the EU’s ODR platform has been discontinued (no new complaints since 20 March 2025; closure on 20 July 2025), therefore we do not provide an ODR link.

24. MISCELLANEOUS

  • Severability. If any provision is invalid, the remainder remains in effect.
  • No waiver. Failure to enforce is not a waiver.
  • Assignment. Naquist may assign these Terms in connection with a reorganisation/transfer, without reducing your rights.
  • Entire agreement. These Terms plus the Booking Confirmation and any Experience‑specific conditions form the agreement set for that Booking.
